Terms of Service

1. Acceptance of Terms & Global Applicability

By accessing or utilizing the FBA 1 Protocol diagnostic terminal ("the Service") operated by Nachtmann PC, a Washington Limited Liability Company ("we," "our," or "us"), you, acting on behalf of your corporate entity ("User" or "Client"), agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately halt the transmission of any payloads to our servers. These Terms apply globally to all commercial users regardless of geographic location.

2. Description of Service & No Attorney-Client Relationship

The Service is a mathematical, algorithmic mapping engine designed to analyze structural data within commercial payloads (e.g., PDFs, contracts, diagrams). The Service does not constitute legal counsel, legal advice, or legal representation.

CRITICAL STIPULATION: Use of the FBA 1 Protocol, payment of Gas Fees, or receipt of an Exception Report does NOT establish an attorney-client relationship between the User and Nachtmann PC. All generated outputs are diagnostic in nature and must be independently verified by the User's own authorized human legal counsel prior to commercial execution.

3. The Utility Toll Protocol (Payments & Refunds)

To initiate the deep-parse logic engine, Users must authorize a non-refundable "Gas Fee" via our authorized merchant of record (Stripe). This fee purchases raw computational processing power (API compute cycles) in a zero-retention environment.

Non-Refundable Policy: The Gas Fee is consumed the millisecond the payload enters the processing queue. If a payload fails to process due to User error—including but not limited to cryptographic password locks, file corruption, exceeding maximum token density, or non-machine-readable formatting—the FBA Engine will halt and generate a "Layer 1 Ingestion Failure" Exception Report. No refunds will be issued for failed payloads. The compute cycle is consumed regardless of a successful extraction.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Nachtmann PC, its partners, and its infrastructure providers (including Netlify and Google Cloud) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from the use of or inability to use the Service.

In no event shall Nachtmann PC’s aggregate liability exceed the total Gas Fees paid by the User for the specific transaction giving rise to the liability.

5. Governing Law, Jurisdiction & International Exclusions

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within King County, Washington.

International Business: The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. For Users accessing the Service outside the United States, you acknowledge that Nachtmann PC operates infrastructure within the US, and you bear sole responsibility for ensuring your payload transmission complies with local cross-border data transfer laws.
